Terms and Conditions

Definitions

In this Agreement, the following terms shall have the meanings set out below:

• "Software" means the ZenithTally desktop application, ZenithLens GST reconciliation tool, and any associated components, updates, or documentation provided by the Company.
• "Subscription" means the annual license to use the Software, purchased by the User for a defined period.
• "License Key" means the unique alphanumeric code issued by the Company upon payment, which activates the Software on a specific computer system.
• "System ID" or "Machine ID" means the unique hardware fingerprint generated by the Software from the User's computer, used to bind the License Key to a specific machine.
• "Trial Period" means the 3 (three) calendar day period during which the Software may be used free of charge.
• "Activation" means the process of entering a valid License Key to unlock full functionality of the Software beyond the Trial Period.
• "TallyPrime" means the accounting software developed and owned by Tally Solutions Pvt. Ltd., which is a separate third-party product not affiliated with the Company.
• "GST" means Goods and Services Tax as applicable under Indian law.

Software License

Subject to these Terms and timely payment of the applicable Subscription fee, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on a single computer system identified by your System ID.
• Use all features and modules included in the Software version purchased.
• Receive updates released during your active Subscription period.

This license is personal to you and your registered firm or organization. It does not constitute a sale of the Software or any intellectual property rights therein.

Free Trial Terms

The Company offers a 3 (three) day free trial of the Software subject to the following conditions:

• The trial begins on the date of first installation or first launch of the Software on your system.
• All features of the Software are accessible during the trial period.
• The trial is available once per computer system (per System ID). You may not circumvent the trial limitation by reinstalling the Software, changing hardware, or using virtual machines to obtain additional trial periods.
• Upon expiry of the 3-day trial, the Software will display an activation screen and will not function until a valid License Key is entered.
• No data entered during the trial is deleted upon trial expiry. All data remains accessible upon activation.
• By downloading and using the trial, you agree to be bound by these Terms in their entirety.

Subscription and Payment

4.1 Subscription Plans

• New Subscription: ₹2,499 (plus applicable GST) per year for the first subscription year.
• Renewal: ₹1,499 (plus applicable GST) per year for each subsequent renewal year.
• Prices are subject to change upon 30 days' notice via email or WhatsApp to registered users.

4.2 Payment

• Payment is accepted via UPI transfer to the UPI ID published on zenithtally.in (currently: zenithtally0032@pnb, account of Dunna Appana).
• After payment, the User must share their payment screenshot and System ID via WhatsApp. The License Key will be delivered within 2–4 business hours during working hours (Monday–Saturday, 10:00 AM – 7:00 PM IST).
• The Company reserves the right to verify payment before issuing a License Key.
• Payment is non-refundable except as expressly provided in the Refund Policy.

4.3 Subscription Period and Renewal

• The subscription is valid for 365 days from the date of activation.
• Renewal is not automatic. Users must initiate renewal before or after expiry by making payment and following the same WhatsApp process.
• Upon subscription expiry, the Software displays an activation screen. Existing data is not deleted.
• If renewal is made within 90 days of expiry, the renewal period runs from the original expiry date, not from the renewal date, preserving continuity.

4.4 GST

All prices are exclusive of GST. Applicable GST at the prevailing rate (currently 18%) will be charged in addition to the listed price. GST invoices will be provided upon request.

License Restrictions

You agree that you will NOT:

• Copy, redistribute, sublicense, sell, rent, lease, or lend the Software or your License Key to any third party.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Modify, adapt, translate, or create derivative works based on the Software.
• Remove, alter, or obscure any copyright, trademark, or proprietary rights notices in the Software.
• Use the Software for any unlawful purpose or in violation of any applicable law, including but not limited to the Income Tax Act, 1961, Goods and Services Tax laws, or the Information Technology Act, 2000.
• Share your License Key with any other person or organization, whether or not for commercial gain.
• Use automated tools, scripts, or bots to circumvent the licensing mechanism.
• Use the Software to process financial data for clients on a bureau or service basis without purchasing separate licenses for each end-user system.
• Make false claims of system change or hardware failure to obtain additional License Keys fraudulently.

Machine-Locked Licensing and System Transfer

The Software uses hardware fingerprinting technology to bind each License Key to a specific computer. The following terms govern this mechanism:

• Single System Binding: Each License Key is cryptographically linked to the System ID of the computer on which activation occurs. The key will not function on any other computer.
• Legitimate System Transfer: If your computer is replaced due to hardware failure, purchase of new hardware, or other legitimate reasons, you may request a one-time free system transfer per subscription year by contacting support via WhatsApp with: (a) your old System ID, (b) your new System ID, (c) your payment reference, and (d) a brief explanation of the reason for transfer.
• Transfer Verification: The Company reserves the right to verify the legitimacy of transfer requests. Requests deemed to be fraudulent (including false claims of system change) will result in subscription cancellation without refund and may be reported to relevant authorities.
• Transfer Limit: Maximum one (1) free system transfer per subscription year. Additional transfers within the same year may be subject to a fee at the Company's discretion.
• Cancelled Licenses: The Company reserves the right to cancel or block any License Key that is found to be misused, shared, or used in violation of these Terms. No refund will be issued for cancelled licenses.

TallyPrime Integration

• ZenithTally integrates with TallyPrime via its standard XML API (HTTP server). This integration operates entirely on your local network and does not require internet connectivity.
• No affiliation: ZenithTally is not affiliated with, endorsed by, or sponsored by Tally Solutions Pvt. Ltd. "TallyPrime" is a trademark of Tally Solutions Pvt. Ltd.
• The Company makes no warranty that the Software will be compatible with all versions of TallyPrime, all TallyPrime configurations, or all TallyPrime data structures.
• The User is responsible for enabling the TallyPrime HTTP server feature and ensuring correct configuration. The Company is not responsible for any misconfiguration of TallyPrime.
• Any data posted to TallyPrime via ZenithTally is the sole responsibility of the User. The Company is not liable for any incorrect voucher postings, ledger alterations, or data changes made to TallyPrime through the Software.
• The User should maintain independent backups of TallyPrime data before using ZenithTally's posting features. The Company strongly recommends testing all operations on sample data before production use.

Data and Privacy

• The Software operates entirely offline. Financial data, company data, and GST data processed through the Software remains on your local computer and is never transmitted to the Company's servers.
• The licensing mechanism transmits only: (a) your System ID (a non-reversible hardware hash), and (b) your activation status — and only at the time of activation, not during normal use.
• Personal information collected during trial registration (name, email, mobile, firm name) is governed by our Privacy Policy.
• The Company will not sell, rent, or share your personal or financial data with any third party except as required by law.

Intellectual Property

• The Software, including all code, design, algorithms, documentation, trademarks, trade names, logos, and all other intellectual property, is and remains the exclusive property of Dunna Appana / ZenithTally.
• These Terms grant you a limited license to use the Software; they do not transfer any intellectual property rights to you.
• "ZenithTally" and "ZenithLens" are proprietary product names of the Company. You may not use these names in any manner that implies endorsement, affiliation, or partnership without prior written consent.
• All feedback, suggestions, or ideas submitted by Users regarding the Software may be used by the Company without obligation or compensation to the User.

Disclaimer of Warranties

In particular, the Company does not warrant that:

• The Software will meet all your specific business requirements.
• The Software will be error-free, free of viruses, or free of other harmful components.
• The results of using the Software for GST compliance, tax filing, or accounting purposes will be accurate, complete, or accepted by any government authority.
• The Software will be compatible with all future versions of TallyPrime or all Windows configurations.
• The Software will be available without interruption, particularly during update or maintenance periods.

The User is solely responsible for ensuring the accuracy of data entered into the Software and for all compliance obligations under applicable tax and accounting laws. ZenithTally is a productivity tool and does not constitute professional accounting, tax, or legal advice.

Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company's total cumulative liability to you for any claims arising from or related to these Terms or your use of the Software shall not exceed the amount actually paid by you to the Company in the 12 months preceding the claim.
• The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: loss of profits, loss of data, loss of business, loss of goodwill, errors in GST filings, penalties or interest levied by tax authorities, or third-party claims.
• The Company shall not be liable for any damage or loss arising from: incorrect data entry by the User, misconfiguration of TallyPrime, use of the Software in ways not intended or described in the documentation, or reliance on the Software's output for statutory compliance without independent professional review.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its proprietor, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms.
• Your use or misuse of the Software.
• Data or content you process using the Software.
• Your violation of any applicable law or regulation.
• Any claim by a third party arising from your use of the Software.

Termination

13.1 Termination by the Company

The Company may terminate or suspend your license immediately, without notice or refund, if:

• You breach any provision of these Terms.
• You share, sell, or misuse your License Key.
• You make fraudulent transfer requests or attempt to bypass the licensing system.
• You engage in any conduct that the Company reasonably determines to be harmful to other users, the Company, or third parties.

13.2 Termination by the User

You may terminate your subscription by simply not renewing it. No notice is required. Upon non-renewal, your license expires at the end of the paid subscription period.

13.3 Effect of Termination

Upon termination: (a) your right to use the Software ceases immediately; (b) all provisions of these Terms that by their nature should survive termination shall continue to apply, including intellectual property rights, disclaimer of warranties, limitation of liability, and indemnification.

Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Copyright Act, 1957.
• Any dispute, claim, or controversy arising from or relating to these Terms or the Software shall first be attempted to be resolved amicably through direct communication with the Company via support@zenithtally.in.
• If amicable resolution is not achieved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Patna, Bihar, India.
• You agree that any claim arising from these Terms must be filed within one (1) year from the date the cause of action arose, regardless of any law to the contrary.

Amendments

The Company reserves the right to modify these Terms at any time. When changes are made:

• The "Last Updated" date at the top of this document will be revised.
• Material changes will be communicated to registered users via WhatsApp or email at least 14 days before they take effect.
• Your continued use of the Software after the effective date of the revised Terms constitutes your acceptance of the changes.
• If you do not agree with any changes, you may discontinue use of the Software. No refund will be issued for unused subscription time in such cases unless required by applicable law.
